The Free To Use License (the “Agreement”) is a legal agreement between you (“User”, “you”, or “your”) and Free To Use ApS (“Free To Use”, “we”, “us”, or “our”), governing your access to and use of digital assets (the “Digital Assets”) made available through the Free To Use platform (the “Platform”).
By downloading or using any Digital Asset from the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement.
"Platform" |
The website available at freetouse.com, which provides access to a library of Digital Assets. |
"Master Recordings" |
Vocal and/or instrumental recordings of audio. |
"Digital Asset(s)" |
The Master Recordings available for download on the Platform. |
"Attribution" |
The requirement to provide credit (attribution) in connection with the use of the Digital Assets. Upon downloading each Digital Asset, an example of correct attribution will be displayed, and further information is available on the Platform’s FAQ. |
"License(s)" |
All licenses made available by Free To Use on the Platform, each granting specific rights and imposing specific restrictions on the use of the Digital Assets. |
"Paid License(s)" |
The licenses available for purchase on the Platform, specifically the Personal License, Commercial License, Pro License, and Broadcast License. |
"License Terms" |
The specific sets of rights granted and restrictions imposed on the use of the Digital Assets under each License. |
"Premium Assets" |
Digital Assets that require a Paid License for download and use. Premium Assets are identified on the Platform by a purple bookmark or a purple star icon. Free To Use reserves the right to change the status of any Digital Asset to a Non-Premium Asset at any time, with such changes applying only to future downloads. |
"Non-Premium Assets" |
Digital Assets that do not require a Paid License to download and use. Free To Use reserves the right to change the status of any Digital Asset to a Premium Asset at any time, with such change applying only to future downloads. |
"Content" |
Any form of visual, audio, or audiovisual material. |
"Social Platforms" |
Online platforms with more than 100 million active users that enable individuals to create, share, and engage with Content. This includes, but is not limited to, platforms such as YouTube, Instagram, TikTok, Facebook, Twitch, Vimeo, and X. |
"Account(s)" |
Profile, page, or channel on any Social Platforms. |
"User-Generated Content" |
Content created and published on Social Platforms by an Account representing an individual, and not on behalf of a company, brand, or other organization. |
"Commercial Content" |
Content created and published with the intent to promote, market, sell, or otherwise support a business, product, service, brand, or commercial activity. This includes, but is not limited to, paid or sponsored content, online advertising, client projects, or any content published on behalf of a company or organization. It also includes content distributed via, or incorporated into, podcasts, company websites, mobile or desktop applications, and video games. |
"Monetize" |
Enable features on Social Platforms that allow Account holders to earn revenue through platform-supported income streams. |
Subject to your compliance with this Agreement and applicable License Terms, Free To Use hereby grants you a non-exclusive, non-transferable, worldwide license to use the Digital Assets in accordance with the License you have acquired:
Free License:
Free License (the "Free License"):
Grants you the right to download and use Non-Premium Assets at no cost in your User-Generated Content. Commercial Content is strictly prohibited under this License; however, you are allowed to Monetize your User-Generated Content, subject to compliance with the Attribution requirement.
Subscription-Plan Licenses:
Personal Plan (the "Personal License"):
Grants you the right to use both Premium and Non-Premium Assets in your User-Generated Content without the requirement to provide Attribution, limited to one Account. Commercial Content is strictly prohibited under this License; however, you are allowed to Monetize your User-Generated Content.
Commercial Plan (the "Commercial License"):
Grants you the right to use both Premium and Non-Premium Assets in your Commercial Content without the requirement to provide Attribution, limited to 10 Accounts.
Single-Asset Licenses:
Pro License (the "Pro License"):
Grants you the perpetual right to use one specific Digital Asset in multiple pieces of Commercial Content without the requirement to provide Attribution, limited to one Account.
Broadcast License (the "Broadcast License"):
Grants you the perpetual right to use one specific Digital Asset in multiple pieces of Commercial Content, television and radio broadcasts, film and movie productions, theatrical trailers, and large-scale commercial campaigns without the requirement to provide Attribution, limited to one Account.
You may not:
Sell, transfer, sublicense, share, distribute, or otherwise make the Digital Assets available to any third party.
Claim ownership or authorship of the Digital Assets, even if the Digital Asset has been transformed or edited.
Alter the Digital Assets in such a manner that they are unrecognizable to content identification and digital fingerprinting systems.
Use the Digital Assets in association with any illegal or prohibited activities, including but not limited to the promotion, endorsement, or incitement of hate, discrimination, or violence of any kind.
Use the Digital Assets, in whole or in part, to train, fine-tune, or otherwise develop any AI, machine learning, or generative models.
The Digital Assets remain the intellectual property of Free To Use. No ownership rights are transferred under this Agreement.
If you violate the terms of this Agreement, your License(s) may be immediately revoked. Upon termination, you must immediately cease all use of the Digital Assets and permanently delete all stored copies. You may appeal this decision within 30 days by submitting a written explanation and corrective action plan to hello@freetouse.com. Any decision regarding reinstatement will be made solely at the discretion of Free To Use.
You agree to indemnify, defend, and hold harmless Free To Use, its affiliates, officers, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from your use of the Platform and Digital Assets.
Free To Use shall not be liable for any indirect, incidental, consequential, or punitive damages, including, without limitation, damages for loss of profits, data, or other intangible losses resulting from your use of or inability to use the Platform or Digital Assets.
Free To Use reserves the right to update or modify this Agreement, including the Licenses and License Terms, at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of Digital Assets following any changes signifies your acceptance of the revised Agreement.
This Agreement and all disputes or claims arising from or related to it shall be governed exclusively by the laws of Denmark. Any legal proceedings related to this Agreement shall be filed exclusively in the courts of Copenhagen, Denmark.
